legal, tax, and other professional advice relative to any Business
Transaction. Dovetail Business Advisors, Inc. has no
responsibility for verification or authentication of the accuracy or
completeness of any of the books, records, financial statements or
any representation or warranty made by a Seller or a Buyer in the
course of any Proposed Transaction. Buyers must assume full
responsibility to undertake a detailed and thorough investigation of
the Business and representations and warranties made by a Seller
concerning a Business, including such matters as title to and
conditions of all property to be sold, the status of the Business,
and the operations of the Business.
Our Responsibility as Your Buyer's Representative
As your Buyer's Representative, it is our fiduciary
duty to:
- Promote the
interests of you, the buyer, with the utmost good faith, loyalty,
and fidelity;
- Protect your
confidences, unless disclosure is required;
- Present all offers in a timely
manner;
- Advise you to obtain
expert legal, tax, financial and other related
advice;
- Account for all money
and property received;
- Disclose all
adverse material facts that we are aware of;
- Disclose to the seller all adverse material facts
actually known by us, including all material facts concerning the
buyer's financial ability to perform the terms of the
transaction.
